This offer (the “Offer”) is made available by SYNCING.NET Technology GmbH (“SYNCING.NET”), which owns and operates the SYNCING.NET service (“SYNCING.NET”). This Offer is valid until terminated by SYNCING.NET (such period referred to as the “Offer Period”) and is subject to these Offer terms.
This Offer enables SYNCING.NET subscribers with a free or paid SYNCING.NET account or license in good standing (“Subscribers”) and their “Friends” to receive additional SYNCING.NET licenses (“Additional licenses”). “Friends” are individuals who (i) during the Offer Period either respond to a referral for this Offer or an invitation to share a SYNCING.NET folder from a Subscriber (each a “Referral”); and (ii) create a new free or paid SYNCING.NET account within the Offer Period. Each Referral is indentified with a referral link unique to each Subscriber.
Subscribers can receive the same amount of Additional Licenses provided to their Friends. For the Friend to receive Additional Licenses, the Friend must (i) create a new SYNCING.NET account within the Offer Period (“Account Creation”); (ii) download and install the SYNCING.NET software during the Offer Period on a computer on which SYNCING.NET has not been previously installed (a “Qualifying Installation”); and (iii) must not be a current or former SYNCING.NET subscriber.
The amount and availability of Additional Licenses depends upon the date of Account Creation and the date of a Qualifying Installation by the Friend, as further provided below:
If the Friend creates a free SYNCING.NET account from a Referral during the Offer Period, he or she will receive Additional Licenses upon Account Creation or be eligible to attend a sweepstake with. No Additional Licenses is awarded for account upgrades; for example, if the Friend creates a free account and thereafter upgrades to a paid account, no more Additional Licenses will be provided.
If the Friend creates a paid SYNCING.NET account from a Referral during the Offer Period, the Friend will receive Additional Licenses upon Account Creation (the “Friend Initial Licenses”) and after Qualifying Installation and payment following any initial trial period, for a 1 Additional Licenses.
Subscribers will receive Additional Licenses for each Qualifying Installation during the Offer Period by a Friend identified with a Subscriber (the “Subscriber Initial Licenses”).
From the start of this Offer through October 30, 2009 there is no limit on the number of Friends eligible for this Offer per Subscriber. Thereafter, SYNCING.NET may limit the number of Friends and/or limit the amount of Additional Licenses made available through this Offer for each Subscriber at any time in its sole discretion.
SYNCING.NET reserves the right to disqualify any Subscriber or Friend from this Offer for noncompliance by the Subscriber and/or Friend with these Offer terms.
If a Friend does not maintain a paid SYNCING.NET account for at least six (6) months following the creation of the Friend’s account, then all Additional Licenses other than Friend Initial Licenses and Subscriber Initial Licenses attributable to the Friend will be removed from the Friend’s and Subscriber’s SYNCING.NET account, respectively.
If a Friend receives Referrals from multiple Subscribers, the Friend can only create a SYNCING.NET account under this Offer through one Referral. Only the Subscriber identified with that Referral will receive Additional Licenses under this Offer.
Any Additional Licenses awarded to a Subscriber or Friend may be used with the SYNCING.NET account initially established by the Subscriber or Friend, as applicable, and any upgrades or downgrades of that same account, but cannot be transferred to a different account.
All Additional Licenses received by a Subscriber or Friend under this Offer shall remain part of such person’s SYNCING.NET account up to January 1, 2010. Thereafter, such Additional Licenses will be removed from SYNCING.NET accounts.
All Additional Licenses becomes part of the applicable subscriber’s SYNCING.NET account subject to the SYNCING.NET Terms of Use.
This Offer may not be redeemed for cash or other products, transferred, or combined with any other offers, discounts, or promotions made available by or through SYNCING.NET.
SYNCING.NET reserves the right to cancel or modify this Offer for any reason at any time in its sole discretion, including but not limited to computer system errors, unintended use, or any fraudulent activity.
